Notice of 2020 Deniliquin Business Chamber Incorporated AGM


NOTICE is hereby given that the Annual General Meeting of the Deniliquin Business Chamber Incorporated will be held at the Deniliquin RSL Club 72 End Street on Tuesday 17 November 2020 at 6.30pm.

The Explanatory Statement, which accompanies and forms part of this Notice of Meeting, describes the special resolution to be considered.

Any members who are unable to attend the Annual General Meeting but still wish to vote on the resolutions being passed may contact the association on to obtain a Proxy Form.

That the proposed Constitution of the Deniliquin Business Chamber Incorporated attached at Annexure A be approved and adopted by the association, in substitution for and to the exclusion of the existing Constitution of the Association.

Explanatory Statement

This Explanatory Statement has been prepared for the information of members in relation to the special resolution which will be considered at the Annual General Meeting.


The Deniliquin Business Chamber Incorporated’s Constitution has been redrafted to better reflect the current operations of the association and the need for flexibility and provide provision for meeting procedures.

Summary of Amendments

A clean copy of the proposed Constitution is set out at Annexure A

The below provides a summary of the amendments that have been proposed.

Removal of the reference to position of Secretary.

The current constitution references the association Secretary throughout. The role of Secretary is no longer a position that is elected within the Executive Committee, with the operational duties of the Secretary being assumed by the paid staff members of the Association. Subsequently, changes have been made to reflect that this position no longer exists, with the removal of the election of the Secretary as a position in the committee, and the duties outlined as the responsibility of the secretary have been changed to be the duties of the Association broadly.

Removal of a prescribed membership fee.

Section 8 the reference to a set fee for membership was changed to a ‘sum determined by the Executive Committee’, to allow for the Committee to make operational decisions around the membership fee as needed. This section also had reference to the membership fee being payable in the first month of each financial year as this is no longer when memberships are due.

Changes to the date of the AGM

As the AGM is now usually held annually in November, Section 25 has been amended to read that the AGM should be held no later than five months (instead of four months) after the close of the financial period. This is within the provision given by NSW Department of Fair Trading that states it must be within a six month period.

Provision for alternative attendance at meetings

Within the meetings section there has been provision added for attendance at the AGM and committee meetings via electronic means/video conferencing.

Inclusion and quantification of a quorum

The number of committee members required for a quorum has been defined as half plus one of the Executive Committee members.
